Morgan & Morgan asesora en la emisión de bonos senior por un monto de US$ 600 millones para completar la adquisición del Corredor Norte
Como parte de la adquisición del Corredor Norte, Morgan & Morgan representó al Ministerio de Economía y Finanzas, Empresa Nacional de Autopista, SA (ENA) y ENA Norte, S.A. (filial de ENA), por la emisión de bonos valorado en $600, 000,000 con un interés de 4,95% y vencimiento en 2028, registrado en la Comisión Nacional de Valores de la República de Panamá y colocados con éxito a través de la Bolsa de Valores de Panamá.
La adquisición del Corredor Norte es uno de los ejes centrales del plan del gobierno panameño de mejora de infraestructura, y se llevó a cabo a través de ENA Norte, S.A. y como garantía de los bonos, ENA Norte, S.A., cedió sus derechos en virtud de la Concesión al Fideicomiso ENA Norte, un fideicomiso creado para actuar como emisor de los bonos.
HSBC Securities (EE.UU.), Inc. y Global Bank Corporation actuaron como Joint Lead Managers, mientras que HSBC BANK (PANAMÁ), S.A., fue seleccionado para actuar como fiduciario del Fideicomiso ENA Norte.
Fitch Ratings asignó una calificación de BBB en la escala internacional, y un AAA en la escala nacional a los Bonos. La emisión de estos pagarés garantizados se estructuró con un mecanismo de devolución de paso, con todo el exceso de efectivo se utilizará para pagar el principal. El producto de las notas, que fueron emitidos bajo la Regla 144-A/Reg S, se utilizó para financiar una parte del precio de compra de $ 647MM para la concesión del Corredor Norte.
Morgan & Morgan actuó como asesor panameño para MEF, ENA y ENA Norte. El Socio Inocencio Galindo dirigió al equipo de Morgan & Morgan, que estaba compuesto también por el socio Ramón Varela y los asociados Roberto Vidal, Ricardo Arias, Gilbert Mallol y Ana Carolina Castillo. Los socios Raúl Castro, Eduardo González, y el asociado Nestor Broce, asumieron la responsabilidad principal en la operación fiduciaria.

In the framework of the decade of the International Year of the Volunteers proclaimed by the United Nations, Morgan & Morgan was distinguished by the International Association for Volunteer Effort (IAVE) for its support in the development of the project of the Panamanian Volunteering Law.
During the event, IAVE highlighted the pro bono work of the Morgan & Morgan team who cooperated with this project, such as attorneys Jazmina Rovi, Nestor Broce, Kharla Aizpurua, Aristides Anguizola, Itzel Blanco and Vicky Alvarado and also executives Rosa de Salazar, Camila Vengoechea and Marcela Tejeira. Furthermore, Morgan & Morgan was recognized for its leadership in Corporate Social Responsibility matters.
Dr. Juan David Morgan acknowledged the recognition, reassuring that Corporate Social Responsibility is in the DNA of MMG since its beginnings and it will consolidate in the future with MMG Tower, new headquarter of the Morgan & Morgan Group and one of the first green buildings in Panama. He also declared that it’s very important for the partners to promote a company based in values that result in actions that benefit the community. Through this project, Morgan & Morgan becomes part of the volunteering history of Panama and contributes, once more, in the creation of public policies. Morgan & Morgan, a UN Global Compact signatory since 2001, continues its 89 year tradition of commitment to the welfare and development of its community and employees.

Nestor J. Broce, new president of STEP-Panama
Nestor J. Broce, lawyer of MMG Trust, took office as the new president of STEP-Panama for the 2017-2018 period. Mr. Broce is a Senior Associate of Morgan & Morgan, and General Manager of MMG Trust (Panama) S.A., headquarter of the fiduciary operations of Morgan & Morgan Group in Panama. He has a solid professional background, specializing in estate planning, guarantee trusts, and project management trusts, among other trust services.
STEP is a professional association of trust estate practitioners whose purposes include promoting the highest professional and ethical standards, as well as educating and connecting its members. To date, it has over 20,000 professional members, divided in 112 chapters, distributed in 96 countries, all of them committed to improving professional standards of the members and sharing among countries the best fiduciary practices.

Morgan & Morgan advises the issuer in a senior notes issue for an amount up to US$600 million to complete the acquisition of Corredor Norte
As part of the acquisition of the Corredor Norte, Morgan & Morgan also represented the Ministry of Economy and Finance, Empresa Nacional de Autopista, S.A. (ENA), and ENA Norte, S.A. (an affiliate of ENA), in a U.S. $600,000,000 issuing of 4.95% Notes due 2028, registered before the National Securities Commission of the Republic of Panama and successfully placed through the Panama Stock Exchange.
The acquisition of the Corredor Norte was one of the centerpieces of the Panamanian government’s infrastructure improvement plan, and was implemented through ENA Norte, S.A. As collateral on the Notes, ENA Norte, S.A., assigned its rights under the Concession to the ENA Norte Trust, a trust created in order to act as issuer of the Notes.
HSBC Securities (USA), Inc., and Global Bank Corporation acted as Joint Lead Managers, while HSBC BANK (PANAMA), S.A., was selected to act as trustee of the ENA Norte Trust.
Fitch Ratings assigned a BBB rating in the International Scale, and an AAA in the National Scale to the Notes. The issue of these secured notes was structured with a pass-through repayment mechanism, with all excess cash to be used to repay the principal. The proceeds from the Notes, which were issued under Rule 144-A/Reg S, were used to finance part of the US$647MM purchase price for the Corredor Norte concession.
Morgan & Morgan acted as Panamanian counsel for MEF, ENA and ENA Norte. Partner Inocencio Galindo led the Morgan & Morgan team, which was also comprised of partner Ramon Varela and associates Roberto Vidal, Ricardo Arias, Gilbert Mallol and Ana Carolina Castillo. And partners Raul Castro, Eduardo Gonzalez, and associate Nestor Broce, were all assumed the principal responsibility in the trustee operation.

Several experts discussed during STEP Latam how small territories like Panama should partner to defend their interests with this organization.
